Terms of Service

These Terms of Service ("Terms") govern your access to and use of listing.yaeris.com (the "Platform"), operated by Yaeris Digital Services (registration number 002999014-K), located at 33-01, 33rd Floor, Menara Keck Seng, 203 Jalan Bukit Bintang, 55100 Kuala Lumpur, Malaysia ("we", "us", "our"). By registering an account, submitting a listing, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. The Service

listing.yaeris.com is an AI-ready business directory that allows businesses to create listings, publish services and software profiles, and be discovered by visitors and AI systems. Vendors may top up a wallet and receive traffic through pay-per-click Direct Website links to their own site.

2. Eligibility and Accounts

• You must be at least 18 years old and legally able to enter into a binding contract to register as a vendor.
• You must provide accurate, current, and complete information when registering and verify your email address.
• You are responsible for keeping your login credentials confidential and for all activity under your account.
• We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Listings

• Each vendor may submit exactly one Business listing. Once approved, you may submit unlimited Service and Software listings under that business.
• All new submissions, and any edits to core fields (business name, description, or website URL) on an approved listing, are placed into pending status and require our approval before going live.
• We reserve full discretion to approve, reject, or remove any listing that we determine is inaccurate, misleading, infringing, spam, or otherwise unsuitable for the directory, and we will notify you of the reason for rejection where reasonably possible.
• You represent that you own or are authorised to submit the business, service, and software information you provide, and that it does not infringe any third party's rights.
• Services and Software sub-pages are made available for AI indexing (including a public llm.txt summary endpoint) as part of normal Platform operation.

4. Pay-Per-Click Wallet System

• Vendors may top up a wallet balance via Stripe to enable a Direct Website button linking to their external site.
• Each click on the Direct Website button deducts the current cost-per-click, as set by us, from your wallet balance, and is recorded in your click logs.
• If your wallet balance falls below the cost-per-click, the Direct Website button will be automatically disabled until you top up again.
• Wallet top-ups are processed securely through Stripe. We do not store your card details.
• Wallet top-ups are non-refundable except where required by law or where we determine, at our discretion, that a billing error occurred on our part. Unused wallet balances remain valid for as long as your account is active and in good standing.
• We may change the cost-per-click rate from time to time. Any change will apply to clicks occurring after the change takes effect.
• You are responsible for monitoring your own wallet balance and analytics dashboard.

5. Fees and Payment

All fees are quoted and charged in the currency shown at checkout. You authorise us and Stripe to charge your chosen payment method for any wallet top-up you initiate. You are responsible for any taxes applicable to your use of the Platform.

6. Acceptable Use

You agree not to:

• Submit false, misleading, or fraudulent business information.
• Attempt to manipulate click counts, wallet balances, or analytics through automated tools, bots, or click fraud.
• Use the Platform to distribute malware, spam, or unlawful content.
• Attempt to bypass, disable, or interfere with the Platform's security, RLS access controls, or admin functions.
• Scrape, copy, or republish directory data at scale without our written permission.

7. Intellectual Property

The Platform, including its design, software, and underlying technology, is owned by Yaeris Digital Services. By submitting listing content, you grant us a non-exclusive, worldwide, royalty-free licence to host, display, index, and distribute that content as part of the Platform, including through search engines and AI systems.

8. Blog Content

Blog content published on the Platform is provided for general informational purposes only and does not constitute professional, legal, or financial advice.

9. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee any specific amount of traffic, clicks, leads, or business outcomes from your listing or wallet spend. We do not verify or endorse the accuracy of information submitted by vendors, and visitors should exercise their own judgement before engaging any listed business.

10. Limitation of Liability

To the maximum extent permitted by law, Yaeris Digital Services shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or business opportunity arising from your use of, or inability to use, the Platform. Our total aggregate liability for any claim relating to the Platform shall not exceed the total amount you paid to us in wallet top-ups during the three (3) months preceding the claim.

11. Suspension and Termination

We may suspend or terminate your account and remove your listings at any time, with or without notice, if we reasonably believe you have breached these Terms, misused the Platform, or engaged in fraudulent activity. You may close your account at any time by contacting us. Any remaining wallet balance at termination will be handled in accordance with Section 4 and applicable law.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date on this page. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Malaysia. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Malaysia.
